Creator Terms

1. Eligibility

You must be at least 18 (or the age of majority in your jurisdiction). You must complete onboarding (Sign in with Apple, accept these Terms, complete a Stripe Connect Standard onboarding, and submit a valid tax form — IRS W-9 for US persons or W-8BEN/W-8BEN-E for non-US persons) before any payouts are issued.

2. Royalty Split

Splits are calculated on the gross amount Apple remits to ThemeIt for sales of your content (i.e., after Apple's commission and applicable VAT/GST). The RoyaltyEngine records the split to a tamper-evident ledger at the time of each transaction; you can audit your share via the creator portal.

3. Payouts

• Payouts are processed monthly, on the first business day of the calendar month, covering the prior month's sales (Net-30).
• Minimum payout threshold: USD 50 (or local-currency equivalent). Balances below the threshold roll forward.
• Disbursement: Stripe Connect Standard. Stripe holds the funds and pays directly to your bank — ThemeIt never holds your money.
• Stripe charges its standard fees; the fees apply against your share unless we explicitly state otherwise in writing.
• You are responsible for your own taxes. We issue 1099-K (US) or 1042-S (non-US) annually as required.

4. Intellectual Property

You retain ownership of the themes, icons, wallpapers, widgets, Live Activities, watch complications, and other content you submit ("Creator Content").

You grant ThemeIt a worldwide, non-exclusive, royalty-free, sublicensable licence to host, copy, transcode, transmit, display, and distribute your Creator Content through the App Store, the ThemeIt apps, the creator/admin portals, push notifications, marketing materials, and partner integrations, for as long as your account remains active or, where commercially necessary, longer (e.g., to honour active subscriptions to bundles you contributed to).

You represent and warrant that your Creator Content does not infringe any third-party intellectual property, trademark, publicity, or privacy right, and complies with all applicable law.

5. Content Rules

• No content that infringes a third party's IP (Apple trademarks, copyrighted artwork, brands, celebrity likenesses).
• No sexually explicit, hateful, defamatory, harassing, or violent content.
• No content that is illegal in the jurisdictions where ThemeIt distributes (the App Store global market).
• No malware, deceptive linking, or attempts to abuse the analytics or referral systems.
• Content must comply with the Apple App Store Review Guidelines.

6. Review & Moderation

Submissions enter a review queue. We may approve, request changes, or reject submissions in our reasonable discretion. We use automated moderation (image classification + keyword bank) followed by human review for content flagged or randomly sampled. We aim to respond within 5 business days.

7. Takedown

If you or a rightsholder believes Creator Content infringes a right or violates law, file a takedown notice at [email protected]. We act on valid notices within 24 hours. We pass DMCA-style counter-notifications back to you and may restore content if no court order is obtained within 14 business days.

8. Account Suspension & Termination

• You may close your creator account at any time via the creator portal. Pending royalty balances above the payout threshold are paid in the next monthly cycle; below-threshold balances are forfeit.
• We may suspend or terminate your account for material breach of these Terms or applicable law. We will give you reasonable notice and opportunity to cure where the breach is curable; for severe breach (e.g., IP infringement, fraud) we may suspend immediately.
• Upon termination we cease distributing your Creator Content within 30 days, subject to the licence carve-out in §4 for active customer entitlements.

9. Confidentiality & Tax Forms

Tax-form data (W-9 / W-8BEN) is encrypted at rest using a per-creator key. Only your authorised admin contacts and our finance team can access it. We retain it for the periods required by US/EU/India tax law.

10. Disclaimers & Limitation of Liability

The creator program is provided "as is." ThemeIt's aggregate liability for any claim arising from your participation is limited to the greater of (a) the royalty payouts you received from us in the 12 months preceding the claim, or (b) USD 100. ThemeIt is not liable for indirect, incidental, or consequential damages. Nothing in these Terms limits liability that cannot be excluded under your local law.

11. Independent Contractor

Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between you and ThemeIt. You are solely responsible for your own taxes and any insurances or filings your jurisdiction requires of independent creators.

12. Governing Law & Disputes

These Creator Terms are governed by the laws of the Netherlands. Any dispute is subject to the exclusive jurisdiction of the courts of Amsterdam.

13. Changes

We will notify creators by email and post an in-app banner at least 30 days before any material change to these Creator Terms takes effect. Continued use of the creator program after the effective date constitutes acceptance.
